Terms of Service

One thing before the legal language: we are creators who built this Platform for creators. That’s why these Terms are written in plain language — to be read, not to bury anything.

TL;DR (plain language — not a substitute for the full terms)

• AgentsOfAI.art is a marketplace for AI-generated stock video and images: creators upload and sell their work, buyers license and download it. Every account can do both.
• The Platform is for business use by adults (18+), and content standards are strict: nothing sexually explicit, no real people’s likenesses without documented consent, no third-party characters, logos, or trademarks, and nothing hateful, graphically violent, or deceptive (full rules in Section 4).
• Buying gets you a commercial usage license — worldwide, royalty-free, perpetual — plus the original file and the creator’s warranties: everything a stock buyer actually needs. The full terms of what you can do with a purchase are in the Content License.
• All sales are final. You preview the complete watermarked content before buying, so there are no surprises after payment — and no refunds, except where the law requires them.
• Payments are processed by Stripe; your card details never touch our servers.
• Purchases under the $15 checkout minimum use prepaid credits (1¢ each, sold in packs). Credits never expire, and are non-refundable except as required by law.
• Creators earn 65% of every sale. Earnings are held for at least 60 days as fraud protection — no more than 120 days for transactions with elevated dispute risk — then paid out monthly through Stripe.
• Moderation is active: every upload is screened before publication, and the community can report content.
• Violations earn strikes, and DMCA takedowns count as strikes. Three strikes closes the account permanently.
• You can delete your account at any time. A 30-day grace period lets you change your mind; after it, your files are deleted and your records are anonymized.

1. Who We Are; Acceptance of These Terms

AgentsOfAI.art (the “Platform,” “we,” “us”) is operated by , a limited liability company organized under the laws of New Mexico, with its principal place of business at . Contact: support@agentsofai.art.

By creating an account or using the Platform, you agree to these Terms of Service, our Privacy Policy, and — depending on what you do — the Content License (when you purchase) and the Creator Agreement (when you upload). Consents that require an explicit signature or checkbox — the Creator Agreement signature, purchase-terms acceptance, and the EU withdrawal waiver — are recorded with a timestamp and IP address.

If you use the Platform on behalf of a company, you represent that you are authorized to bind that company, and “you” means the company.

2. Eligibility and Accounts

• You must be at least 18 years old. The Platform is a business-to-business marketplace and is not directed to minors.
• You are responsible for all activity under your account. Sign-in is passwordless (Google, Discord, or an emailed link), so keeping your account secure means keeping your email account and those provider accounts secure.
• One person or organization per account. Do not create additional accounts to evade moderation, rate limits, pricing rules, or a prior ban.
• We may refuse, suspend, or terminate accounts that violate these Terms, evade a prior ban, or create risk for the Platform or its users. Banned users are blocked from re-registration, and re-uploading removed or banned content is itself a violation subject to removal and further enforcement.

3. What the Platform Is (and Is Not)

The Platform is a hosting service and marketplace for content created by its users with AI tools. We do not create, commission, or co-author the content offered for sale. Creators upload their own works; buyers license them directly from creators through the Platform.

• We are an intermediary. For stock purchases, the contract for the content is between the buyer and the creator. We provide hosting, discovery, collaboration (community voting, comments, and messaging), checkout, and payment facilitation.
• Interactive computer service. We host third-party content within the meaning of 47 U.S.C. § 230 and act as a service provider under the Digital Millennium Copyright Act (see our DMCA Policy).
• AI-generated content disclosure. All content on the Platform is AI-generated or AI-assisted and is labeled as such — site-wide and on every asset, including the AI tools used where the creator has tagged them.

4. User Content and Conduct

You are solely responsible for the content you upload and the text you post (comments, messages, profile information).

Prohibited content (immediate removal plus a strike):

1. Deepfakes or synthetic likenesses of real people without documented consent
2. Sexually explicit content
3. Copyrighted characters, logos, or trademarks
4. Realistic graphic violence or gore (realistic depictions of injury, death, blood, torture, or cruelty; stylized cinematic action is permitted)
5. Hate speech or hate symbols
6. Disinformation — AI content depicting fabricated real-world events or deceptive recreations of actual events designed to mislead

Prohibited conduct:

• Circumventing watermarks, previews, or download controls, or scraping content or data from the Platform
• Automated or scripted access to the Platform, including bot-driven posting, voting, or uploading
• Vote manipulation, flag brigading, spam, or harassment
• Evading a suspension or ban, or re-uploading removed content
• Fake or self-dealing transactions — using Platform checkout to move money rather than to genuinely license content (for example, purchasing your own assets (including through another account you control), processing payments for third parties, or settling unrelated obligations through asset purchases)

5. Moderation and Enforcement

• Automated screening: every upload is automatically screened against our content standards before publication; uploads may be auto-approved, held for manual review, or rejected.
• Community flagging: users can report assets and comments. Reported content may be hidden automatically pending moderator review, and all reports are queued for moderator attention.
• Appeals: creators may appeal a rejection once per asset through their dashboard.
• Three-strike system: Strikes 1 and 2 — the content is removed and you are warned; repeated violations may additionally place your uploads under heightened review. Strike 3 — permanent account suspension. Strikes are counted cumulatively. DMCA takedowns count as strikes.
• We may remove content or restrict accounts at our discretion to comply with law, protect users, or maintain payment processing eligibility — with or without a strike.
• Enforcement details for creators are in the Creator Agreement; copyright complaints follow the DMCA Policy.

6. Purchases, Payments, and No Refunds

• Payments are processed by Stripe (card data never touches our servers). We are the merchant of record: buyer payments settle to our Stripe balance, creators’ earnings accrue as a balance we hold and pay out after a hold of at least 60 days (no more than 120 days where dispute risk requires — see the Creator Agreement). Prepaid credits (1¢ each) never expire and are non-refundable, except to the extent required by law.
• Checkout minimum and credits: direct card checkout carries a $15 order minimum; smaller totals are paid with prepaid credits, sold in packs of $15 / $25 / $50 / $100 (1¢ per credit, credit balance capped at $2,000).
• What you buy is a Content Usage License as described in the Content License — not copyright ownership and not exclusivity.
• Preview the complete content before you buy. The asset detail page plays the full content (watermarked, at streaming quality); the delivered file is the same content in its original, typically higher, quality.
• ALL SALES ARE FINAL — no refunds on downloaded assets. By purchasing you acknowledge you previewed the full content. Buyers in the EU/UK expressly consent at checkout to immediate delivery and acknowledge that the 14-day right of withdrawal is lost once delivery begins, as permitted by the EU Consumer Rights Directive and the UK Consumer Contracts Regulations 2013; this consent is recorded and confirmed by email.
• Delivery and re-download. Your download link is delivered on-screen and by email. Download links expire 24 hours after they are issued. You can get fresh links at any time by signing in with the same email address you used for the purchase and re-downloading from your Purchases page, for as long as the file remains available on the Platform. If you checked out as a guest and do not yet have an account, create one with that email address and the purchase appears in your library automatically. Availability is best-effort, and your license to copies you have already downloaded is perpetual and unaffected — full delivery, availability, and withdrawal-waiver terms are in the Content License §2 and §7. If an asset is removed from the Platform — by its creator, or by us after a policy review — re-download access ends 24 hours after the removal; if it is removed following a copyright takedown notice, access ends immediately. Copies you already downloaded remain licensed. No refund is due for a removal.
• Chargeback abuse: initiating a chargeback for content you downloaded, rather than resolving the issue with us, may be treated as payment abuse and may result in account termination. This does not apply to disputes of unauthorized transactions.

7. Selling

Uploading for sale requires accepting the Creator Agreement (one-time electronic signature before first upload, re-accepted when the agreement changes). Revenue split on sales: 65% creator / 30% platform / 5% processing fee.

8. Intellectual Property

• Platform IP: the Platform’s software, design, branding, and curation are ours or our licensors’. These Terms grant you no rights in them.
• Your content: creators retain whatever rights they hold in their uploads and grant the Platform the hosting/distribution license described in the Creator Agreement.
• AI-generated works: purely AI-generated works are generally not protected by copyright under current US law — what the Platform sells is documented, contractual usage rights and warranties, not copyright or exclusivity. The full explanation of what this means for buyers is in the Content License, Section 4.

9. Account Deletion

You may delete your account at any time from your dashboard settings:

• Your profile and published assets are unpublished immediately; a 30-day grace period follows during which you can cancel the deletion.
• After 30 days: files are permanently deleted, your database records are anonymized (username replaced, email removed), and your Stripe connected account is deactivated. Transaction records are retained in anonymized form as required for tax and legal compliance.
• Your remaining earned creator balance is paid out through our closure process — the monthly payout threshold does not apply on closure. Any balance you never claim is handled under the unclaimed-earnings policy: after 12 months of inactivity we send a notice, and balances that remain unclaimed are then handled in accordance with applicable unclaimed-property (escheat) law.
• Comments you posted remain visible attributed to “[deleted user]” — see the Privacy Policy.

10. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT CONTENT IS COPYRIGHTABLE, EXCLUSIVE, OR CLEARED FOR EVERY USE. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

Content is created by users, not by us. Warranties about content originate from the uploading creator (see Creator Agreement and Content License), not from the Platform.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL; AND (b) OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE PLATFORM IS CAPPED AT THE GREATER OF US $100 OR THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM (FOR BUYERS, YOUR TOTAL PURCHASES; FOR CREATORS, THE PLATFORM’S SHARE WITHHELD FROM YOUR SALES). Some jurisdictions do not allow certain limitations; in those jurisdictions these limits apply to the fullest extent permitted.

12. Indemnification

You will defend and indemnify , its officers, and agents against claims, damages, and reasonable legal costs arising from: (a) content you upload or post; (b) your use of purchased content outside the Content License; (c) your violation of these Terms or of law; or (d) your dealings with other users. (Creators give broader content-specific indemnities in the Creator Agreement.)

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Mexico, excluding its conflict-of-laws rules. Venue for disputes lies in the state or federal courts located in Bernalillo County, New Mexico, and the parties consent to their jurisdiction.

14. Changes to These Terms

When we materially change these Terms, we will announce the change (by email and/or an in-product notice) before it takes effect; continued use of the Platform after the effective date constitutes acceptance. Where a document requires an explicit signature or checkbox (the Creator Agreement, purchase terms), you must re-accept the new version before the related features can be used. Prior acceptance records are preserved. The version in effect at the time of each purchase governs that purchase.

15. General

These Terms plus the documents referenced in Section 1 are the entire agreement between you and us regarding the Platform. If a provision is unenforceable, the rest remains in effect. We may assign these Terms in connection with a merger or sale; you may not assign them. Failure to enforce a provision is not a waiver. Sections that by their nature survive termination (IP, disclaimers, liability limits, indemnities, disputes) survive.
